Terms of Service

Welcome to Guangzhou Jialibei Carpet Co., Ltd. ("JLB," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our B2B commercial carpet and mat manufacturing services, including our website at jlbmat.com.

By placing an order, requesting a quote, or otherwise engaging with our services, you ("Customer," "you," or "your") agree to be bound by these Terms. If you do not agree, please do not use our services.

2.1 B2B Only

JLB operates exclusively on a business-to-business (B2B) basis. Our services are intended solely for wholesale buyers, distributors, project contractors, chain brands, and other commercial entities. We do not sell directly to individual consumers.

2.2 Eligibility

You represent and warrant that you are a duly authorized representative of a legitimate business entity with the legal capacity to enter into binding contracts.

3.1 Quotation Process

All quotations provided by JLB are valid for 30 days from the date of issuance unless otherwise specified. Pricing is subject to change based on raw material costs, order volume, customization requirements, and exchange rates.

3.2 Order Confirmation

An order is binding only upon our written confirmation (via email or signed contract). We reserve the right to accept or decline any order at our discretion.

3.3 Minimum Order Quantity (MOQ)

While we offer a flexible MOQ of 1 piece for sampling and market testing, bulk production orders may have different minimum requirements depending on product type and customization level.

4.1 Pricing

All prices are quoted in USD (or as agreed) and are EXW (Ex Works) Guangzhou, China, unless otherwise specified. Freight, insurance, customs duties, and taxes are the responsibility of the Customer.

4.2 Payment Terms

Standard payment terms are 30% deposit upon order confirmation and 70% balance before shipment. Other terms (e.g., T/T, L/C) may be negotiated for established customers with credit approval.

4.3 Late Payment

Late payments may incur interest charges at a rate of 1.5% per month or the maximum allowed by law, whichever is lower. We reserve the right to suspend or cancel orders for overdue accounts.

5.1 Lead Time

Production lead times vary by order complexity and volume, typically ranging from 15 to 45 days after deposit receipt and final design approval. Exact timelines will be confirmed in writing.

5.2 Delays

While we strive for on-time delivery, we are not liable for delays caused by force majeure events (natural disasters, pandemics, government actions, strikes, material shortages, etc.). We will notify you promptly of any anticipated delays.

5.3 Shipping & Risk

Risk of loss or damage passes to the Customer upon delivery to the carrier (EXW terms). We recommend purchasing cargo insurance. JLB is not responsible for shipping delays or damages caused by carriers or customs.

6.1 OEM/ODM Services

We offer free design layout services for custom sizes, patterns, and logos. Final production requires your written approval of digital mockups or physical samples.

6.2 Intellectual Property

You warrant that any logos, designs, or trademarks provided to us do not infringe third-party intellectual property rights. You agree to indemnify JLB against any claims arising from such infringement.

6.3 Samples

Sample costs (if applicable) are typically deducted from bulk orders. Samples are non-refundable once shipped.

7.1 Certifications

Our products are REACH-compliant and tested by SGS for fire resistance and color fastness. Copies of test reports are available upon request.

7.2 Inspection

Customers must inspect goods within 7 days of receipt and notify us immediately of any defects or discrepancies. Claims made after this period may not be accepted.

7.3 Tolerances

Due to the nature of textile manufacturing, minor variations in color, size (±2%), and pattern alignment are normal and acceptable. Digital mockups are for reference only; actual products may vary slightly.

8.1 Custom Products

Custom-made products (with specific logos, sizes, or designs) are non-returnable and non-refundable unless there is a manufacturing defect or error on our part.

8.2 Defective Products

If products are defective due to manufacturing errors, we will, at our discretion, replace the defective items or issue a credit note. Proof (photos, videos, inspection reports) must be provided within 7 days of receipt.

8.3 Warranty Limitations

We warrant that products will be free from material defects in workmanship for 90 days from delivery. This warranty does not cover damage from misuse, improper installation, normal wear and tear, or failure to follow care instructions.

To the maximum extent permitted by law, JLB's total liability for any claim arising from these Terms or our services shall not exceed the total amount paid by the Customer for the specific order in question.

We are not liable for indirect, incidental, consequential, or punitive damages, including but not limited to loss of profits, business interruption, or loss of data, even if advised of the possibility of such damages.

Both parties agree to keep confidential any proprietary information disclosed during the business relationship, including but not limited to pricing, designs, customer lists, and technical specifications. This obligation survives termination of the business relationship.

11.1 Governing Law

These Terms are governed by the laws of the People's Republic of China, excluding its conflict of law provisions.

11.2 Dispute Resolution

Any disputes arising from these Terms shall first be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to arbitration in Guangzhou, China, under the rules of the China International Economic and Trade Arbitration Commission (CIETAC). The arbitration award shall be final and binding.

We reserve the right to update these Terms at any time. Changes will be effective upon posting to our website. Continued use of our services after changes constitutes acceptance of the revised Terms. For significant changes, we will notify existing customers via email.
